Automatic Payment Authorization Agreement
(On-Demand / Password-Free)

This Automatic Payment Authorization Agreement ("Agreement") is entered into between Querit Private Limited (hereinafter referred to as "Querit", "we," "us," or "our") and you (whether an individual, a company, or another legal entity). By checking the box to agree to this Agreement and completing card binding through our cooperating third-party payment service provider (Antom or Stripe), you expressly authorize Querit to initiate password-free payment transactions in accordance with the terms set forth below.
1. Scope of Authorization and Charging Mechanism
• Nature of Authorization (Non-Subscription):
You acknowledge and agree that:
(1) This authorization applies to a usage-based, pay-as-you-go service, not a recurring fixed-fee subscription.
(2) Charges are calculated based on your actual consumption of API services, in accordance with the pricing applicable to your selected plan.
(3) There is no minimum charge unless your usage meets the charging threshold described below.
• Charging Triggers and Settlement Timing: Unless otherwise stated, the password-free payment you activate will remain in effect until it is canceled. We will charge you for the fees incurred from your API requests on a daily basis, at 00:00 (UTC) on the calendar day following the date on which such usage is generated. We also apply a minimum charge threshold for automatic debits. Fees are charged daily at UTC 0:00 if the previous day's usage exceeds four U.S. dollars (US$4), otherwise, charges accrue until the threshold is met. If your accumulated charges exceed one U.S. dollar (US$1), but are less than four U.S. dollars (US$4), the debit will be deferred until 30 days have elapsed.
• Password-Free Processing: Once your payment method is successfully bound and authenticated, you authorize Querit to initiate subsequent transactions meeting the above trigger conditions without requiring additional passwords, SMS codes, or biometric verification, subject to applicable law and card network rules.
• Each account can be bound to only a limited number of bank cards. Please fully verify the information to ensure the authenticity and validity of the bank card you bind.
• We will first deduct payment from your default bank card. If the deduction fails, we will attempt charges sequentially against your other linked bank cards until the payment is successfully completed.
2. Notifications, Transparency, and Billing Information
• Usage Visibility: You have access to API usage metrics and billing information through your account dashboard.
• Clear Billing Descriptor: The merchant's name displayed on your bank statement (Billing Descriptor) is consistent with our company name to reduce malicious chargebacks due to "unrecognized transactions."
3. User Obligations and Liability
• Account and Device Security: You are responsible for safeguarding your account credentials, linked payment methods, and devices. To the extent permitted by applicable law, you shall be held liable for losses resulting from your intentional misconduct or gross negligence. Gross negligence may include, but is not limited to, failing to take reasonable security measures after becoming aware of a threat, which could result in incidents such as: (1) lost or unauthorized use of your devices; (2) sharing of account credentials; or (3) phishing attacks.
• Reporting Unauthorized Transactions: You must notify our Customer Support team at [support@querit.ai] without undue delay, and in any event within forty-eight (48) hours of discovering any suspected unauthorized transaction, to allow timely investigation and coordination with our third-party payment service provider to dispute and reverse the relevant charges where applicable.
4. Revocation of Authorization
• How to Revoke Authorization:
You may revoke this authorization at any time by:
Removing your payment method in the "Payment Method" section of our Website;
• You must ensure that all expenses incurred under your account have been settled and are free of any disputes or controversies. Otherwise, we reserve the right to refuse your application.
• Effect of Revocation: Revocation shall not affect transactions that have already been initiated or completed prior to the effective time of cancelation. Following revocation, Querit reserves the right to suspend or terminate your access to paid services in accordance with the Online Subscription Agreement.
5. Miscellaneous
This Agreement shall be read in conjunction with, and forms part of, our Online Subscription Agreement. Any disputes arising out of or in connection with this Agreement shall be subject to the governing law and arbitration provisions set forth in the Querit Services Agreement. In the event of any inconsistency, this Agreement shall prevail with respect to automatic payment authorization matters.
